Valuing Software Assets and Assessing Opportunity in an Era of Lower Development Costs

For more than two decades, ENSOFT has designed, built, and modernized sophisticated software systems used across a wide range of industries. This work has included rigorous technology evaluations and research collaborations with DARPA on advanced program analysis, software verification, and related challenges. We have also applied modern development practices—including agentic coding—to accelerate and strengthen our own product work. This combination of long experience with complex software, practical insight into how the economics of development have changed, and advanced analysis capabilities positions us to help acquirers and sellers address two critical questions in today’s M&A environment.

1. Valuing the Software an Acquisition Target Already Has

Surface-level reviews often miss the real picture of what software is worth (or what it will cost to sustain). Using proprietary program analysis and related techniques developed through years of work on large and complex systems, we perform scalable, evidence-based assessments that surface:

  • Architectural quality, modularity, and maintainability

  • Technical debt, dependencies, and integration complexity

  • Security posture, residual risks, and readiness for ongoing development

  • Alignment between claimed IP or patents and the actual software artifacts

  • Realistic cost and effort required to sustain, modernize, or integrate the assets

This produces a clearer view of what is actually being acquired, supports more accurate valuation, and informs purchase-price adjustments, escrows, representations, or deal structure—especially where software is a material asset or a source of risk.

2. Evaluating Post-Acquisition Performance and Economics in a Lower-Cost Software World

Agentic coding and related AI-assisted tools have substantially reduced the time and cost of producing reliable software. This shift changes both the defensibility of existing software and the options available after close. We help buyers assess:

  • Moat durability: Whether the target’s software constitutes a lasting competitive advantage or is increasingly vulnerable to cheaper alternatives, in-house builds, or customer-built substitutes.

  • Build-vs-buy recalibration: Realistic cost, timeline, and capability requirements to modernize, extend, or selectively replace key systems—either by equipping the combined team with agentic practices or by developing more affordable bespoke solutions.

  • Software cost structure: The true total cost of ownership of the systems the business relies on, and where expensive third-party tools or services can be supplemented or replaced more economically.

  • Value-creation levers: How lower development friction can improve post-deal margins, accelerate product roadmaps, reduce integration risk, or unlock synergies that were previously uneconomic.

  • Risks and prerequisites: What is required (talent, process, governance, verification) to capture these gains without sacrificing reliability or quality.

Because we have navigated these same shifts internally while continuing to deliver sophisticated software, our assessments are grounded in both analysis of the target’s assets and practical experience with the new development economics.

Result: Deal teams receive diligence and integration advice that reflects both the value of existing software and the changed cost of creating or replacing it. This supports more accurate underwriting, stronger synergy cases, and clearer value-creation plans after close across a broad range of software-intensive businesses.
